Terms of Service

This is a convenience translation. The German version is legally binding.

For the use of Batteriepass Online (https://batteriepass-online.eu) by businesses.

1. Scope and parties

These Terms of Service (Terms) govern all contracts between EAS International, Klybeckstr. 141, 4057 Basel, Schweiz (the Provider, we) and the customer for the use of the software Batteriepass Online.

The service is offered exclusively to traders, legal entities and public bodies acting in the course of their business or professional activity. Consumers may not use the service. By registering, the customer confirms that it acts as a business.

Deviating or supplementary terms of the customer do not form part of the contract, even if we do not expressly object to them.

2. Subject matter

Batteriepass Online is software provided over the internet (software as a service) with which the customer creates, publishes, maintains and keeps available digital battery passports under Art. 77 and Annex XIII of Regulation (EU) 2023/1542. Depending on the plan, the service includes in particular: creation of battery models and individual batteries, attribute catalogue with mandatory-field check, public passport page with QR code and machine-readable export, access levels for the public, persons with a legitimate interest and authorities, version history with verification chain, document storage, CSV import, supplier forms, an API and webhooks, an export file for the EU registry and a custom domain for passport addresses.

The current scope of each plan is described on the pricing page. Features marked as beta or preview are provided without warranty of completeness.

We do not provide legal, tax or compliance advice. The obligation check and the knowledge articles are general information. Whether and to what extent a battery requires a passport and which data must be provided is assessed by the customer on its own responsibility.

Registering battery passports in the EU registry for digital product passports (Implementing Regulation (EU) 2026/1778) is the task of the customer as economic operator. We provide the pre-validated export file and instructions but do not perform the registration on behalf of the customer.

Some of the technical requirements for the battery passport (delegated acts, harmonised standards EN 18219 ff., the data catalogue of the EU registry) have not yet been finally published. We adapt the software to new binding requirements within a reasonable time. Resulting changes to the data model or export formats are not defects.

3. Conclusion of contract

A free-of-charge contract for the Pilot plan is concluded upon completion of registration and confirmation of the e-mail address.

A paid contract for another plan is concluded when the customer selects the plan in the customer area, completes the order with the payment provider Stripe and we confirm the order by e-mail. Confirmation is usually given within minutes by activating the plan.

The contract language is German. The English version of these Terms is for information only; in case of doubt the German version prevails.

4. Plans, quotas and prices

Plans differ in features and quotas. Prices per month, net: Pilot EUR 0, Starter EUR 59, Business EUR 149, Pro EUR 349. With annual billing per year, net: Starter EUR 590, Business EUR 1,490, Pro EUR 3,490.

Quotas (models / published passports per contract year): Pilot 1 / 10, Starter 5 / 500, Business 15 / 5000, Pro unlimited models / 25000.

If the annual quota of published passports is exceeded, we charge per additional published passport, net: Starter EUR 0.25, Business EUR 0.12, Pro EUR 0.06, billed monthly in arrears. A passport counts as published when it first receives the status "active"; later versions of the same passport are not counted again. On the Pilot plan and on individually agreed plans without a running subscription the quota is a fixed limit.

In addition, passport packs can be bought once for the current contract year (prices in the customer area under "Billing"). They raise the annual quota until the end of the contract year; unused passports expire at its end and are not refunded.

The Pilot plan is intended for getting to know the software. Passports in the Pilot plan carry a visible test-data notice and are not intended for placing products on the market. We may limit or discontinue the Pilot plan; existing accounts are informed at least 30 days in advance.

All prices are net. Services to businesses established in the EU are subject to the reverse-charge mechanism; the customer must provide a valid VAT identification number and notify changes. Where VAT nevertheless applies, it is charged in addition.

We announce price changes at least six weeks before they take effect by e-mail. The customer may terminate the contract with effect from the end of the current billing period before the change takes effect; otherwise the new price applies from the next billing period.

5. Payment

Fees are due monthly or annually in advance, depending on the billing period chosen, and are collected through the payment provider Stripe Payments Europe Ltd. (credit card, SEPA direct debit or other payment methods offered by Stripe). Invoices are provided electronically and sent by e-mail.

If a payment fails, we inform the customer by e-mail. If payment remains outstanding 14 days after the notice, we may restrict the customer area to read access until the arrears are settled. Passports already published remain publicly accessible at their address during this time (see section 8). If payment remains outstanding for 60 days, we may terminate the contract for cause.

The customer may set off against our claims only with undisputed or finally adjudicated claims.

6. Obligations of the customer

  • The customer is solely responsible for the accuracy, completeness and currency of the content of its battery passports (Art. 77(4) Regulation (EU) 2023/1542) and for timely publication and updates.
  • The customer ensures that it is entitled to use uploaded documents, images and data and does not infringe third-party rights. It does not publish passports for products it does not place on the market or for which it is not entitled to keep the passport.
  • Passports with test or sample data must be marked as such (the Pilot plan marks them automatically). Passports with fabricated data for products placed on the market are prohibited.
  • The customer assigns access levels (public, legitimate interest, authority) in accordance with legal requirements and reviews third-party access requests carefully.
  • Login credentials, API keys and webhook secrets must be kept confidential. The customer informs us immediately of suspected misuse. The customer is responsible for actions under its account to the extent attributable to it.
  • The API may only be used within the documented usage limits. Automated bulk retrieval of public passport pages outside the API is prohibited.
  • When sending supplier and access requests through the software, the customer ensures that the contact is lawful.
  • When using a custom domain for passport addresses, the customer ensures that the domain points to our service for the entire lifetime of the passports or switches to our standard addresses in good time.
  • The customer keeps its master data (company, address, VAT ID, billing e-mail) up to date.

7. Availability, maintenance and backups

We aim for an availability of 99.5% per calendar month for public passport pages, measured at the handover point of our data centre. Scheduled maintenance that causes interruptions is announced at least 48 hours in advance by e-mail and preferably carried out at night or at weekends. Outages caused by circumstances beyond our control (internet disruptions, force majeure, attacks despite appropriate protective measures) do not count as unavailability.

The software runs on servers of Hetzner Online GmbH in Germany. We back up the database and document storage at least daily and keep backups for at least 30 days. Backups serve to restore the service; they do not replace the customer’s own backup via the export functions offered.

We may develop the software further and change or add features as long as the core contractual purpose, keeping compliant battery passports available, is preserved.

8. Permanent availability of passports

Under Art. 77(8) Regulation (EU) 2023/1542 a battery passport must remain accessible for the entire lifetime of the battery and beyond, even if the economic operator ceases its activity. The following rules serve this purpose.

Published passports remain accessible at their address for the term of the contract. The customer may set a passport to the status inactive, archived or marked for deletion at any time; the version history is retained. No physical deletion takes place before the periods in this section have expired.

After the contract ends, all published passports remain publicly accessible in read-only mode free of charge (read-only phase) – for at least 15 years from their respective publication and beyond that until we are notified that the battery has been recycled. Read-only access comprises the public passport page, the access levels, the machine-readable export and retrieval of all data through the export functions (JSON according to the published battery passport schema, PDF data sheet, documents). It does not include changes to passports, new passports or support; these require a current plan.

The customer may transfer the passports to another service provider at any time; we provide the complete export and, on request, redirect the previous addresses to the new address for a further 12 months. With the transfer our obligation to keep these passports available ends.

Deletion takes place only once the recycling of the battery has been reported (Art. 77(8)), after a transfer to another service provider, or at the express written request of the customer, who then ensures availability itself; we point out the consequences by e-mail beforehand. We are entitled to keep passports available free of charge beyond the minimum period. The cost of keeping passports available is included in the plan price and in the price per additional passport (section 4).

If we discontinue the service altogether, we announce this at least six months in advance and enable a complete export as well as redirection of the passport addresses to a successor or a provider named by the customer.

9. Data protection and processing on behalf

For the data in the customer account, billing and the operation of the platform we are the controller within the meaning of the GDPR; details are set out in our Privacy Policy.

Where the customer processes personal data of third parties through the software (such as contact persons in passports, supplier contacts, access requests), we act as the customer’s processor. The Data Processing Agreement, which forms part of this contract and is available at /avv, applies.

10. Rights of use

We grant the customer, for the term of the contract, the non-exclusive, non-transferable right to use the software over the internet to the agreed extent. There is no entitlement to the source code.

The customer grants us the right to store, process, reproduce and make publicly accessible the content it enters, within the chosen access levels, to the extent necessary to provide the service, including the read-only phase. This right continues for the duration of the statutory retention obligation.

We may name the customer with company name and logo as a reference if the customer has consented in writing (e-mail suffices). Consent may be withdrawn at any time.

11. Warranty and liability

We provide the service with the care of a diligent provider. We remedy defects within a reasonable time after notification. The customer reports defects without delay and as specifically as possible.

We are liable without limitation for intent and gross negligence and for damage resulting from injury to life, body or health. In cases of slight negligence we are liable only for breach of material contractual obligations and limited to the typical, foreseeable damage, in total not exceeding the fees paid in the twelve months preceding the damaging event. In the Pilot plan we are liable only for intent and gross negligence.

We are not liable for the accuracy of content entered by the customer, for decisions of authorities or market surveillance bodies, for sanctions due to missing or incorrect passports of the customer, for the availability of the EU registry or for data loss resulting from the customer’s failure to export.

We do not guarantee that the software fully complies with future delegated acts or standards at every point in time; we undertake to adapt it within a reasonable time after their binding publication.

The customer indemnifies us against third-party claims based on unlawful content of the customer or on a breach of its obligations under section 6, including reasonable costs of legal defence.

12. Term and termination

Paid contracts run for one month or twelve months, depending on the billing period chosen, and renew for a further period of the same length unless terminated with effect from the end of the current billing period. With annual billing, the annual fee already paid is not refunded pro rata on termination. Termination is made through the customer portal (Stripe) or by e-mail to info@batteriepass-online.eu. After termination the account switches to the Pilot plan; passports above the Pilot quotas remain accessible under section 8 but can no longer be changed.

The free Pilot plan may be terminated by either party at any time with 14 days’ notice. Pilot accounts without published passports that have not been used for twelve months may be deleted after notice by e-mail.

Either party may terminate the contract for cause without notice. Cause exists for us in particular if the customer, despite a warning, publishes unlawful or fabricated passport content, endangers the security of the platform or is more than 60 days in arrears with payment.

When switching to a smaller plan, existing models and passports are retained; new models or passports can only be created once the quotas of the new plan are met.

13. Changes to these Terms

We may change these Terms with effect for the future where necessary due to changes in law, changes in the technical requirements for the battery passport or adjustments of the scope of service, provided this does not unreasonably disadvantage the customer. We notify changes at least six weeks before they take effect by e-mail. If the customer does not object before the effective date, the amended Terms apply; we point out this consequence in the notice. If the customer objects, either party may terminate the contract with effect from the effective date of the change.

14. Final provisions

Swiss law applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG) and the conflict-of-law rules of private international law. The exclusive place of jurisdiction is Basel (Switzerland). We are also entitled to sue the customer at its registered seat.

Declarations under this contract require text form (e-mail suffices). The relevant e-mail address of the customer is the address stored in the account.

Should any provision of these Terms be invalid, the validity of the remaining provisions remains unaffected. The invalid provision is replaced by a valid provision that comes closest to its economic purpose.
